Terms & Conditions

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Services, you represent and warrant that you meet these requirements.

  RevOps Initiative provides:

• A      software-as-a-service (SaaS) web application
• Fractional      revenue operations (RevOps) advisory, consulting, and implementation      services

All RevOps services are advisory in nature only. You acknowledge and agree that:

• The      Company does not guarantee any specific business, revenue, or performance      outcomes
• You      retain full control and responsibility over all business decisions
• You      are solely responsible for implementing any recommendations provided

We reserve the right to modify or discontinue any part of the Services at any time.

  To access certain features, you may be required to create an account. You agree to:

• Provide      accurate and complete information
• Maintain      the security of your account credentials
• Notify      us immediately of any unauthorized use

You are responsible for all activities under your account.

  Access to the web application may require a paid subscription, billed monthly or annually.

• Subscriptions      automatically renew unless cancelled
• You      may cancel at any time; cancellation will take effect at the end of the      current billing period
• Refunds      are not provided beyond 30 days after the initial purchase, unless      required by law

  Fractional RevOps services may be provided under separate statements of work (SOWs), proposals, or agreements.

• Services      may be cancelled by either party at any time
• No      refunds will be provided for services already rendered
• No      additional service charges will be applied after the effective date of      cancellation

•   All      fees are non-refundable except as expressly stated
• Late      payments may result in suspension of Services
• You      agree to provide valid payment information

  You agree not to:

• Use      the Services for unlawful purposes
• Reverse      engineer or attempt to access source code
• Interfere      with system integrity or security
• Upload      malicious code or harmful content

We reserve the right to suspend or terminate accounts that violate these Terms.

All content, software, and materials provided through the Services are owned by or licensed to RevOps Initiative and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for internal business purposes.

You retain ownership of any data you submit to the Services ("Customer Data"). You grant us a limited license to use Customer Data to provide and improve the Services.

You are responsible for:

• The      accuracy, quality, and legality of your data
• Maintaining      appropriate backups of your data

Data Loss Disclaimer:

• The      Company is not responsible for any loss of data resulting from customer      error, misuse, or failure to properly manage data
• While      we take reasonable measures to protect data, we do not guarantee that data      loss will never occur

Both parties agree to maintain the confidentiality of non-public information disclosed in connection with the Services.

The Web Application and Services may integrate with third-party tools or platforms. We are not responsible for third-party services or their terms, performance, or data handling practices.

We may suspend or terminate your access to the Services at our discretion, including for violation of these Terms.

You may terminate your account at any time, subject to the subscription and services terms above.

The Services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We make no guarantees regarding:

• Revenue      growth or business outcomes
• System      availability or uptime
• Accuracy      or completeness of outputs

To the maximum extent permitted by law, RevOps Initiative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Data Loss Limitation:
The Company shall not be liable for any loss, corruption, or unavailability of data, regardless of cause, including system failures, third-party services, or user actions.

Our total cumulative liability arising out of or related to the Services shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless RevOps Initiative, its officers, directors, employees, and investors from any claims, damages, liabilities, and expenses arising from:

• Your      use of the Services
• Your      violation of these Terms
• Your      Customer Data or business decisions

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

• Arbitration      shall be conducted by a recognized arbitration provider in the United      States
• The      arbitration shall be conducted on an individual basis; class actions      and class arbitrations are not permitted
• You      waive any right to participate in a class action lawsuit or class-wide      arbitration

Each party shall bear its own legal fees unless otherwise required by law.

The Company does not guarantee uninterrupted or error-free operation of the Services.

• No      Service Level Agreement (SLA) is provided unless explicitly stated in a      separate written agreement
• Scheduled      or unscheduled downtime may occur
• We are      not liable for outages, delays, or service interruptions

To the extent applicable, the Company will process personal data in accordance with its Privacy Policy and applicable data protection laws.

• The      parties agree that the Company acts as a service provider or processor      with respect to Customer Data
• Additional      data processing terms (including a Data Processing Addendum) may be      provided upon request or required by law

In addition to Section 5, you agree not to:

• Use      the Services in a manner that exceeds reasonable usage limits
• Access      or use any APIs in an abusive, excessive, or unauthorized manner
• Attempt      to scrape, duplicate, or resell the Services without authorization

We reserve the right to monitor usage and enforce reasonable limits.

These Terms shall be governed by the laws of the State of Colorado without regard to conflict of law principles.

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

These Terms, along with any applicable SOWs, order forms, or agreements, constitute the entire agreement between you and RevOps Initiative regarding the Services and supersede all prior agreements.
